New Ventures

We love to get involved in new businesses, especially creative ones, in the early stages. It’s a tremendously exciting time, even for the lawyers.

We also see innovative small ventures as the way of the future. Gone is the paradigm of graduating from college and then climbing a corporate ladder. The new generation is about entrepreneurs whose groundbreaking and nimble small businesses can outperform larger competitors with smarts and the ability to move without institutional barriers slowing them down. That’s how we feel about our place in the legal world, and that’s how we think about our prospective clients’  opportunities in the brave new business world.

But while a new a venture is exciting, there’s a lot to think about, including legal issues. Startups must weigh contractual relationships between partners, the choice of business entity, investors, and the thicket of compliance issues particular to various industries. If it’s an Internet business, legal and regulatory issues change monthly.

Perhaps you have a great idea for a new online business, as well all necessary expertise and capital, but don’t know the subtleties of user agreements, terms of use and privacy policies. Or maybe you’ve started a youth fashion line, but didn’t know the government now requires expensive testing of children’s goods.

We handle all of that. If the client is new, we discuss, in detail, business and legal issues that might arise, without charge. In keeping with our overall philosophy of attorney-client relations, we come to know our clients and help them develop their goals.

Only then can we provide wise counsel – such as how much money to raise, how to structure a deal between the parties and investors, contracting with vendors and suppliers and avoiding the various legal pitfalls that can beset a new business.
